ZiS-Nominare - Disclaimer and Licence Terms
Version 1.1 - 11 October 2026
======================================================================
PLEASE READ THESE TERMS CAREFULLY BEFORE USING ZiS-Nominare. BY USING THE PROGRAM YOU ACCEPT THEM IN FULL. IF YOU DO NOT ACCEPT THEM, DO NOT USE THE PROGRAM AND DELETE IT.

WARNING: ZiS-Nominare CHANGES THE CONTENT AND THE NAMES OF FILES AND FOLDERS DIRECTLY ON DISK. IF USED INCORRECTLY, OR IN CASE OF MALFUNCTION, IT MAY CAUSE SERIOUS AND IRREVERSIBLE DAMAGE TO FILES, FOLDERS AND DATA, INCLUDING THEIR LOSS OR CORRUPTION. BY ACCEPTING THESE TERMS THE USER ACKNOWLEDGES THIS RISK AND ASSUMES FULL RESPONSIBILITY FOR IT.

1. DEFINITIONS
--------------------------------------------------------------------------------
- "ZiS" (www.zis.it), the author and owner of ZiS-Nominare.
- "ZiS-Nominare" or "the Program": the ZiS-Nominare software, in any version, together with its documentation and support files (help file, this disclaimer, images).
- "Third-Party Components": software owned by third parties and included in or used by the Program, such as the AutoIt runtime.
- "User": any natural or legal person who downloads, installs, copies, runs or otherwise uses the Program.

2. ACCEPTANCE
--------------------------------------------------------------------------------
By downloading, installing, copying, running or otherwise using the Program, the User declares that they have read, understood and accepted these terms in full.

When the Program is started for the first time, and every time these terms change, it shows them in an acceptance window before opening. The User accepts them by ticking the two acceptance boxes and pressing "Accept". If the User presses "Decline" or closes the window, the Program closes. The acceptance is recorded in the Program's settings file.

Use of the Program implies full acceptance of its functionalities and of the way it works, as described in its help file, including the fact that it changes the content and the names of files and folders in a way that cannot be undone by the Program, and that it may cause serious damage to files (see section 6).

The User uses the Program voluntarily, under their own control and at their own sole risk, and assumes full and exclusive responsibility for every operation performed with it and for all its consequences. To the maximum extent permitted by applicable law, the User releases ZiS from any liability arising from the use of the Program.

If the User does not accept these terms, they must not use the Program and must delete all copies of it.

3. FREE LICENCE AND OWNERSHIP OF THE CODE
--------------------------------------------------------------------------------
The Program is freeware. ZiS grants the User, free of charge, a non-exclusive, non-transferable, revocable licence to use the Program. The Program is licensed, not sold.

The Program is free of charge, but it is not open source. Even though it is distributed free of charge, ZiS claims and retains all rights, title and interest, including copyright and all other intellectual property rights, in the Program and in its source code and object code. The source code of the Program is confidential and proprietary to ZiS and is not disclosed to the User.

Without the prior written consent of ZiS, the User may not:
- disclose, publish, share or otherwise make available to third parties the source code or the object code of the Program, in whole or in part, including any part of it extracted from the Program;
- modify, adapt, translate, decompile, disassemble, decrypt or reverse engineer the Program, extract its source code, or create derivative works from it;
- sell, rent, lend, sublicense or otherwise exploit the Program commercially;
- distribute the Program or make it available to third parties; the Program may be obtained only from www.zis.it or from sources authorised by ZiS;
- remove or alter copyright notices, trademarks or these terms.

The above restrictions apply except to the extent that applicable law expressly permits such activities notwithstanding a contractual limitation. The User may make backup copies of the Program for their own use.

4. THIRD-PARTY COMPONENTS
--------------------------------------------------------------------------------
Third-Party Components remain the property of their respective owners and are governed by their own licence terms. ZiS claims no rights over them and gives no warranty about them.

5. NO WARRANTY
--------------------------------------------------------------------------------
THE PROGRAM IS PROVIDED FREE OF CHARGE, "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZiS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE PROGRAM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR COMPATIBLE WITH THE USER'S SYSTEMS OR FILES.

The User is solely responsible for checking that the Program is suitable for their purposes before using it.

ZiS has no obligation to provide support, maintenance, updates or corrections.

6. DATA, FILES AND BACKUPS
--------------------------------------------------------------------------------
The Program changes the content of files and renames files and folders. These changes are written directly to disk and cannot be undone by the Program.

The Program may cause serious damage to files, folders and data, both in case of incorrect use and in case of malfunction, including, for example: permanent loss or corruption of data; unwanted changes to the content of files; damage to binary files, documents or programs; wrong or broken names, paths and references between files; files that can no longer be opened or used by other programs. By accepting these terms the User acknowledges this risk and assumes full responsibility for it.

The User is solely responsible for:
- making a complete backup copy of all files and folders before applying any change;
- carefully checking the Preview before pressing "Apply preview";
- the choice of files, folders, search text, replacement text and options;
- the accuracy, integrity, security and availability of their own data and systems.

To the maximum extent permitted by applicable law, ZiS is not liable for any loss, corruption, alteration or unavailability of data, files or folders resulting from the use of the Program.

The Program is not designed or intended for use in environments where its failure or misuse could lead to death, personal injury, or severe physical, environmental or financial damage.

7. LIMITATION OF LIABILITY
--------------------------------------------------------------------------------
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZiS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING LOSS OR CORRUPTION OF DATA, LOSS OF PROFITS, REVENUE OR GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF RECOVERING DATA OR PROCURING SUBSTITUTE SOFTWARE, ARISING OUT OF OR IN CONNECTION WITH THE USE OF, OR THE INABILITY TO USE, THE PROGRAM, WHETHER THE USE IS PROPER OR IMPROPER, AND EVEN IF ZiS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Where applicable law does not allow liability to be excluded but allows it to be limited, the liability of ZiS shall be limited to the fullest extent permitted by that law.

8. INDEMNIFICATION
--------------------------------------------------------------------------------
To the extent permitted by applicable law, the User shall hold ZiS harmless and indemnify it against any claim, damage, cost or expense, including reasonable legal fees, brought by third parties and arising from the User's use of the Program or from the User's breach of these terms.

9. MANDATORY RIGHTS
--------------------------------------------------------------------------------
Nothing in these terms excludes or limits any liability or right that cannot be excluded or limited under the law applicable to the User, such as liability for wilful misconduct or gross negligence, or rights granted to consumers by mandatory law. In those cases the exclusions and limitations in these terms apply to the maximum extent permitted by that law.

10. PRIVACY
--------------------------------------------------------------------------------
The Program does not collect, store or transmit personal data to ZiS or to third parties. It only writes its own settings, log and support files in the folder where it is located; the settings file also records the acceptance of these terms (version, date and time), without any personal data. The "www.zis.it" button opens the ZiS website in the User's browser; the website is governed by its own privacy policy.

11. TERMINATION
--------------------------------------------------------------------------------
This licence ends automatically if the User breaches these terms. On termination, the User must stop using the Program and delete all copies of it. Section 3 (as regards the ownership and protection of the code), sections 4 to 9, and sections 12, 14 and 15 survive termination.

12. GOVERNING LAW AND JURISDICTION
--------------------------------------------------------------------------------
These terms are governed by Italian law, excluding its conflict-of-law rules. Any dispute arising from or relating to these terms or to the Program is subject to the exclusive jurisdiction of the courts of Perugia, Italy, without prejudice to the mandatory jurisdiction of the User's place of residence where the User is a consumer.

13. CHANGES TO THESE TERMS
--------------------------------------------------------------------------------
ZiS may change these terms at any time. Each release of the Program is governed by the terms supplied with it. Use of a new release implies acceptance of the terms supplied with that release.

14. GENERAL PROVISIONS
--------------------------------------------------------------------------------
- Severability: if any provision of these terms is held invalid or unenforceable, it shall be limited to the minimum extent necessary and the remaining provisions shall remain in full force and effect.
- Entire agreement: these terms are the entire agreement between ZiS and the User regarding the Program.
- No waiver: failure by ZiS to enforce any provision is not a waiver of that provision.
- Language: these terms are written in English. Any translation is provided for convenience only; in case of discrepancy, the English version prevails.

15. SPECIFIC APPROVAL
--------------------------------------------------------------------------------
Pursuant to and for the purposes of Articles 1341 and 1342 of the Italian Civil Code, by ticking the second box in the acceptance window the User specifically approves the following sections: 2 (Acceptance), 3 (Free licence and ownership of the code), 5 (No warranty), 6 (Data, files and backups), 7 (Limitation of liability), 8 (Indemnification), 11 (Termination), 12 (Governing law and jurisdiction) and 13 (Changes to these terms).
